Highlight Works

  • Assisting a Hong Kong-based institution client in obtaining IRC and ERC for setting up an WFOE in food processing with a project capital of up to 2 million USD; and various other matters in relation to the operation of the WFOE, including its disputes relating to supplier agreement and labor contracts;
  • Assisting a Belgian institutional investor in obtaining an Investment Registration Certificate (“IRC”) and Enterprise Registration Certificate (“ERC”); registering the changes in the WFOE’s list of owners and an increase in capital to USD 500,000;
  • Assisting a Finnish company in obtaining IRC and ERC for setting up an WFOE in wire and cable processing with a project capital of up to USD 800,000;
  • Assisting a Finnish company in obtaining IRC and ERC for setting up an WFOE in Information technology;
  • Assisting a Thai company in registering its representative office, which was followed by the establishment of an WFOE in the field of distribution of machines and equipment in the paper industry; and other post-license matters, including employment procedures and labor contracts;
  • Assisting a Hong Kong logistics company in registering its representative office and other post-license matters, including employment procedures, work permits and labor contracts;
  • In charge of all investment and business licensing matters for all the sub-companies in the NRH Group, advising on all corporate legal issues arising out of the business of these companies, providing legal advice in the pre-feasibility study for all the Group’s investment initiatives, and acting as the company secretary;
  • Assisting WFOEs in various licensing matters post-establishment, such as capital increase, change of the company’s legal representative, project extension, etc.;
  • Assisting foreign investors in various other businesses such as renewable energy, mining, import and distribution of confectionery, etc.;
  • Assisting a Belgian corporation in doing due diligence on the target company, drafting, negotiating, and concluding the set of agreements to acquire 49% of a Vietnamese logistics company, the deal was valued at approximately 1 million USD; and
  • Advised a U.S. investor in the acquisition of a 40% stake in an F&B business in Ho Chi Minh City.

  • Acting as an in-house senior legal counsel of a top tier international banking corporation in Vietnam, covering both corporate and retail customer portfolios, with a focus on digital projects and digitalized products and services, including internet banking and mobile banking systems; and other regulatory matters in terms of financial crime compliance (AML, Fraud, ABC);
  • Advising on the legal and compliance matters of NRH Group, a Hong Kong based corporation investing in various countries in the Asia Pacific area, focusing on IT, software development, solutions in e-commerce and fintech projects;
  • Advising on the legal and compliance matters of NRH Group, a Hong Kong based corporation investing in various countries in the Asia Pacific area, focusing on IT, software development, solutions in e-commerce and fintech projects, including the negotiation, conclusion and implementation of a series of projects for distributing products of local insurers through e-channels in cooperation with local banks and telecommunication companies;
  • Participating in the deal advisory team and assisting the review and conclusion of facility agreement and mortgage agreements of an WFOE and assisting this client in successfully registering this foreign loan with the SBV;
  • Contributing to the legal advice on relevant regulations on the setting up and the responsibilities of a standing committee within the board of directors of a commercial bank; and
  • Providing legal expertise to the advisory team and participating in the review of the cash flow management service agreement for a local bank.

  • Provide comprehensive legal services for an FDI projects in developing a resort in a famous island of Vietnam with the initial registered capital up to 13 million USD, including: advising clients on all relevant matters including investment and business requirements; Vietnam land regulations relating to compensation and land clearance; representing the client in working with local authorities and land users on all matters pertaining to the project; and
  • Participating in the legal experts' team to provide advice on the determination of one-off payment land rent applicable to a client who was a joint venture in developing and leasing apartments in the center of Ho Chi Minh City.
